Terms of Service

These Terms govern use of the Keyless website, dealer portal, and mobile app operated by Keyless Technologies LLC. A dealership's paid use is governed by its signed Keyless Service Agreement (the "Agreement"); where these Terms and the Agreement conflict, the Agreement controls.

1. Who may use Keyless

Keyless is offered to verified automobile dealerships and their authorized staff. There is no open self-service signup: a dealership is provisioned only after a request, a review, and an executed Agreement. Accounts are for the named dealership and its staff, and may not be shared or resold.

2. Acceptable use

• Use Keyless only to manage access to your own or your dealership's vehicles.
• Do not attempt to unlock a lockbox you are not authorized to open. Lockbox unlocking is available only through the Keyless mobile app, next to the vehicle; attempts from other surfaces are blocked, logged, and reported.
• Do not probe, reverse-engineer, or interfere with the security of the platform or hardware.
• Keep your credentials confidential and enable two-factor authentication for privileged accounts.

3. Hardware

Lockbox hardware provided under an Agreement remains subject to that Agreement's terms (provision, return, damage, and replacement). Do not modify, open, or tamper with hardware. Hardware is provided for the security function described; no security product is infallible, and Keyless is one layer of a dealership's overall security practices.

4. Billing

Fees, billing frequency, and payment method are set in your Agreement. Payments are processed by our payment provider (Stripe); Keyless does not store card or bank-account numbers. Unless your Agreement says otherwise, service is month-to-month after any pilot and may be cancelled with 30 days' notice. Fees already due are non-refundable except as required by law or stated in the Agreement.

5. Data

Your operational data is yours; our handling of it is described in our Privacy Policy. You are responsible for having the right to record any test-drive customer information you enter, and for using it consistent with applicable law.

6. Availability

We work to keep the service available and secure, but it is provided "as is" without warranties beyond those stated in your Agreement. By design, app-based lockbox unlocking is built to keep working even when the cloud is unreachable.

7. Limitation of liability

To the maximum extent permitted by law, and except as set out in your Agreement, Keyless is not liable for indirect, incidental, or consequential damages. Nothing here limits liability that cannot be limited by law. The controlling caps and indemnities are those in your signed Agreement.

8. Changes

We may update these Terms; material changes affecting a dealership will be communicated per the Agreement. Continued use after an update means acceptance of the updated Terms.
